Definitions

The following is a non-exhaustive list of definitions of words and phrases found in this document: "Alvis" refers to our company, known as "Alvis Science, Inc."; our Site; our Service; or a combination of all or some of the preceding definitions, depending on the context in which the word is used; "Service" refers to the services that we provide through our Site, including our customer insight services and our Site itself; "Site" refers to our website, getalvis.com; "User" refers to anyone who uses our Service, including general visitors to our Site; "End User" refers to a consumer or person that would claim an Offer from you; "You" refers to you, the person who is governed by this Terms of Service.

How Alvis Works

Alvis is a B2B Software as a Service ("SaaS") platform. Our Service helps companies gather actionable customer insights and create tailored offers to the customers.

Your account

If you create an account on the Service, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must not use Alvis to send unsolicited messages that could be considered spam. You must immediately notify Alvis of any unauthorized uses of your account or any other breaches of security. Alvis will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Nature of Service

Our Service is intended to improve your business, but results may vary. You agree that you are solely responsible for determining whether our Service will benefit you, and to release Alvis from any loss arising from or relating to your use of our Service.

Rules of Use

You agree that you will not: Violate the laws of the United States, its states, or any foreign political entity having jurisdiction over this Agreement, whether or not the foreign political entity is a country or a subdivision (such as a state or province) or municipality (such as a city, town, county, or region) of a foreign country. Post or send anything violent, threatening, pornographic, racist, hateful, or otherwise objectionable according to the opinion of Alvis or its delegates. Infringe on anyone’s intellectual property rights, defame anyone, impersonate anyone, or otherwise violate the rights of a third party. Use our Service to facilitate a business or business practice which is fraudulent, unfair, deceptive, or otherwise prohibited by consumer protection or other legislation. Hack, crack, phish, SQL inject, or otherwise compromise the security or integrity of the Site, Service, or its Users’ computers. Do anything else which could bring Alvis into disrepute or violate the rights of any person.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your contributions; (2) use of the Site; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Marketing

Unless You specifically withdraw Your consent to this clause by sending an email at [e-mail], You acknowledge and consent that Alvis may make use of any of Your marks, logos and trade names to identify You as Alvis's user/customer on Alvis's Site and/or Software, in addition to any other marketing material.

Payment

In-app Payment is conducted via credit card through our third party payment provider, Stripe. Unless otherwise stated, all prices are listed in United States dollars.

Availability of Service

As a SaaS, Users agree that Alvis may be unavailable at times. Reasons for such unavailability may be related to security, technical, or legal issues. You agree that Alvis is not required to inform you of any such periods of unavailability even if anticipated or planned by Alvis, and release us from any liability relating to such unavailability. Without limitation on the generality of the foregoing, Alvis shall generally attempt to inform its Users of such planned or anticipated periods of unavailability prior to their occurrence unless there is good reason not to do so.

Copyright

Alvis must preserve the uniqueness of its content in order to distinguish itself from its competitors. You agree not to copy, distribute, display, disseminate, or otherwise reproduce any of the information on the Site without receiving our prior written permission.

California Users and Residents

Miscellaneous

These Terms of Use, together with any policies or operating rules posted by us on or in relation to the Site, constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Service does not constitute a waiver of that right or provision. These Terms of Service apply to the fullest extent permitted by law. At any time, we may assign any or all of our rights and obligations to others. We will not be liable or responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is found to be unlawful, void, or unenforceable, that provision or part of a provision is deemed severable from these Terms of Use and has no bearing on the validity and enforceability of any remaining provisions. As a result of these Terms of Use or your use of the Site, no joint venture, partnership, employment, or agency relationship exists between you and us. You agree that the fact that you drafted these Terms of Service will not be used against us. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the parties hereto's failure to sign.
